Purchasing Agreement

This Purchasing Agreement governs your purchase of tickets, registrations, and related items through the EventPassHero platform (the “Services”). It supplements our Terms & Conditions and Privacy Policy, which are incorporated by reference. In this Agreement, “you” means the Buyer; “EventPassHero,” “we,” and “us” refer to EventPassHero LLC, a Delaware limited liability company; and the “EVA” (Event/Venue Administrator) refers to the Organizer that offers the event. The version of this Agreement in effect at the time you purchase a ticket governs that transaction.

Please read Section 13 (Dispute Resolution) and Section 8 (Assumption of Risk). Most disputes are resolved by individual binding arbitration with a class-action and jury-trial waiver, and you assume the risks of attending events.

1. Our Role and Responsibilities

EventPassHero provides ticketing technology only. We are not the seller, producer, organizer, or host of any event, and we are not the merchant of record. The EVA — and not EventPassHero — determines and controls, in its sole discretion, ticket pricing and availability, seating, admission policies, event content, scheduling, and whether and when refunds are offered. EventPassHero exerts no control or authority over the event or the EVA.

2. Pricing and Availability

Prices, availability, and seating are set by the EVA and may change at any time before purchase. Tickets are sold subject to availability and to the EVA’s terms and any venue rules.

3. Payment and Service Charges

Your order total may include the ticket face value, applicable service charges, a payment-processing/refund fee (generally 2.9% plus $0.30 of the discounted face value — the standard card rate, which applies regardless of the payment method you choose), and applicable taxes assessed by or on behalf of the EVA. All charges are displayed before you complete your purchase.

Where the EVA has enabled installment payments, you may pay through Affirm, Klarna, or Cash App Afterpay (“BNPL”). Choosing a BNPL option does not increase the price or fees you pay through EventPassHero — your order total is identical to paying by card. Your installment plan is a separate agreement between you and the BNPL provider and is subject to that provider’s terms, eligibility decisions, and any interest or charges under the provider’s own agreement with you. BNPL options appear only on orders within each provider’s limits.

4. Ticket Limits

The EVA may impose ticket limits per person, household, or payment method. We may cancel orders that exceed a limit or that appear to be made using unfair, automated, or fraudulent means, and we reserve the right to decline any request for Services for any reason and without notice.

5. Order Confirmation, Delivery, and Admittance

After your order, we will provide an order confirmation and your ticket(s), typically as an electronic ticket with a barcode or QR code that you can print or display on a mobile device; physical tickets, where offered, are delivered by EventPassHero or the venue. You are responsible for verifying the accuracy of your order. Admission is controlled by the EVA and the venue and is subject to their rules; a valid, unaltered ticket is required for entry.

6. Event Restrictions and Eligibility

Events may carry age, affiliation, or other admission restrictions (for example, 18+ or 21+). You are responsible for confirming and satisfying any restriction before purchase. No refund will be issued if you are denied entry due to a restriction, or for lost, stolen, or unlawfully duplicated tickets.

7. Refunds, Cancellations, and Rescheduled Events

Refunds are determined by the EVA, not by EventPassHero. Where you pay the EVA (and do not pay on EventPassHero directly), we do not receive your ticket purchase funds and have no responsibility or liability for any refunds. Where you pay on EventPassHero directly and an event is cancelled, we may issue a refund of the ticket price after we have notice of the cancellation and confirmation from the EVA. Service charges and payment-processing/refund fees are non-refundable except where required by law or where the EVA has reimbursed us, and such fees may be deducted from any refund. For rescheduled or postponed events, your ticket is typically honored for the new date unless the EVA states otherwise. Refunds of purchases made through a BNPL provider (Affirm, Klarna, Cash App Afterpay) are processed back through that provider, which cancels or adjusts your installment plan and returns amounts you have already paid; this typically takes 5–7 business days and the provider’s own timeline controls.

8. Assumption of Risk; Release

Events may carry inherent risks. By purchasing a ticket to or attending any event, you voluntarily assume all risks associated with attendance, including, without limitation, the risk of exposure to illness or communicable disease, inclement weather, bodily injury, disability, property damage, or death. To the fullest extent permitted by law, you waive and release any and all claims against the EventPassHero Parties, the EVA, the venue, and their respective insurers and agents for any injury, loss, or damage arising out of or relating to your attendance at or participation in any event. EventPassHero is not responsible for safety at any event.

To the extent applicable, you waive California Civil Code Section 1542 and any similar law regarding the release of unknown claims.

9. Ticket Transfers and Resale

You may transfer or resell a ticket only if the EVA permits it and only in compliance with applicable anti-scalping and resale laws. Tickets purchased from anyone other than EventPassHero or an authorized channel may be invalid, and we are not responsible for counterfeit, invalid, or fraudulently obtained tickets.

10. Chargebacks and Payment Risk

If EventPassHero incurs a chargeback, reversal, or loss because you provided invalid or unauthorized payment information or improperly disputed a valid charge, you are responsible for the amount plus our reasonable costs of collection, including collection-agency fees, attorneys’ fees, and court costs.

11. Disclaimer of Warranties

THE SERVICES AND ALL TICKETS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE EVENTPASSHERO PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND QUALITY, AND ANY WARRANTY REGARDING ANY EVENT, VENUE, OR EVA.

12. Limitation of Liability; Indemnity

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE EVENTPASSHERO PARTIES’ TOTAL LIABILITY TO YOU EXCEED FIFTY U.S. DOLLARS ($50), EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND THE EVENTPASSHERO PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless the EventPassHero Parties from any third-party claim arising out of your purchase, your attendance at an event, your breach of this Agreement, or content or data you provide, including for infringement of third-party rights. These obligations apply even where the third-party action is alleged to arise from negligence of any kind or degree.

13. Dispute Resolution; Arbitration; Class-Action Waiver

Any dispute arising out of or relating to this Agreement or your purchase is subject to the binding individual arbitration provision, class-action waiver, jury-trial waiver, informal-resolution requirement, mass-arbitration batching provision, and 30-day opt-out set forth in Section 15 of the Terms & Conditions, which is incorporated here by reference. You and EventPassHero waive the right to a jury trial and the right to participate in a class action, except as provided there.

14. Force Majeure

EventPassHero is not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God; epidemics or pandemics; government orders; natural disasters; war, terrorism, or civil unrest; labor disputes; or utility, telecommunications, internet, hosting, or payment-processor failures.

15. Governing Law; Venue; Limitations Period

This Agreement is governed by the laws of the State of South Carolina, without regard to conflict-of-laws rules. Subject to Section 13, any action not subject to arbitration will be brought exclusively in the state or federal courts located in Columbia, South Carolina. Any claim arising out of or relating to this Agreement must be filed within one (1) year after it accrues, or it is permanently barred.
